    Intern Confidentiality and Non-Disclosure Agreement


    Scope of Confidential Information

    This Confidentiality and Non-Disclosure Agreement (NDA) establishes the terms under which the Receiving Party (Intern) agrees to protect sensitive, proprietary, or confidential information shared by the Disclosing Party (Company) during the internship period. This agreement safeguards the integrity of proprietary knowledge, prevents unauthorized disclosure, and ensures compliance with confidentiality requirements.

    Confidential information under this agreement includes, but is not limited to:

    • Business strategies, marketing plans, financial data, trade secrets, and client information.

    • Unpublished intellectual property, technical data, and research.

    • Internal policies, employee information, and other non-public company materials.

    • Any other information explicitly identified as confidential, regardless of the format (verbal, written, or electronic).

    Obligations of the Intern

    • Protect all confidential information using reasonable care to prevent unauthorized access or disclosure.

    • Use confidential information solely for purposes related to the internship responsibilities.

    • Avoid disclosing confidential information to third parties without the Company's written consent.

    • Immediately notify the Company in case of any unauthorized disclosure or breach of this agreement.

    • The Intern shall not use confidential information for personal gain or purposes outside the scope of the internship.

    • The Intern shall not retain, copy, or distribute confidential materials after the conclusion of the internship.

    Exclusions from Confidential Information

    • Is publicly available at the time of disclosure or becomes publicly available without the Intern's fault.

    • The Intern independently developed the information without referencing the Company's confidential information.

    • Is disclosed to the Intern by a third party legally authorized to disclose such information.

    • It must be disclosed by law or court order, provided the Intern notifies the Company promptly and cooperates in seeking a protective order.

    Term and Termination

    This agreement is effective from the start of the internship period: and remains binding until .

    Upon termination of the internship or at the Company’s request, the Intern agrees to return or securely destroy all materials containing confidential information.

    Intellectual Property
